Tech Scout — Terms of Use (End User License Agreement)

These Terms of Use ("Terms") are a legal agreement between you and Brook Willard ("we," "us") governing your use of the Tech Scout app ("Tech Scout," "the app"). By downloading, installing, or using Tech Scout, you agree to these Terms. If you do not agree, do not use the app.

1. License

We grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Tech Scout on Apple devices that you own or control, solely for your own personal or internal professional use, in accordance with Apple's App Store Terms of Service (https://www.apple.com/legal/internet-services/itunes/) and the Apple Licensed Application End User License Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/). This license lasts for as long as these Terms remain in effect.

2. Restrictions on use

The app is built upon valuable trade secrets and proprietary image-science methods developed exclusively by Brook Willard. Except to the limited extent the following cannot be prohibited under applicable law, you agree that you will not, and will not permit or enable any third party to:

• reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive, reconstruct, or discover the source code, object code, underlying ideas, algorithms, file formats, data structures, model weights, or non-literal aspects (such as the structure, sequence, and organization) of the app or any part of it, by any means including manual, automated, or AI-assisted analysis;

• copy, modify, adapt, translate, or create derivative works of the app or any part of it;

• rent, lease, lend, sell, sublicense, assign, distribute, publish, or otherwise make the app or its components available to any third party;

• remove, alter, or obscure any copyright, trademark, or other proprietary notice in the app;

• circumvent, disable, or interfere with any security, licensing, or access-control feature of the app, or use the app or any insight derived from it to build, train, or improve a competing product, service, or model;

• use the app in any way that infringes the intellectual-property rights described in Section 6.

You acknowledge that these restrictions are reasonable and necessary to protect our rights and trade secrets, and that any breach would cause us irreparable harm for which monetary damages would be inadequate.

3. Subscription, free trial, and automatic renewal

Tech Scout is offered as an auto-renewable annual subscription, with a limited free demo before purchase.

• Free demo. Before subscribing, you may try Tech Scout with a limited number of free JPEG captures. Once those are used, continued use of the capture features requires an active subscription.

• Price and term. The subscription is $19.99 per year (or the equivalent in your local currency as shown in the app at the time of purchase).

• Free trial. New subscribers may be offered a 7-day free trial. If you do not cancel during the trial, the subscription begins and you will be charged automatically. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.

• Billing through Apple. Payment is charged to your Apple Account at confirmation of purchase.

• Automatic renewal. The subscription automatically renews unless it is canceled at least 24 hours before the end of the current period. Your Apple Account will be charged for renewal within 24 hours prior to the end of the current period, at the then-current price.

• Managing and canceling. You can manage your subscription and turn off auto-renewal in your Apple Account settings (Settings → your name → Subscriptions) at any time after purchase. Canceling stops the next renewal; it does not retroactively refund the current period.

4. Refunds

All purchases are handled by Apple and are subject to Apple's refund policies. We do not process payments and cannot issue refunds directly; refund requests are made to Apple through your Apple Account.

5. Acceptable use

You agree to use Tech Scout lawfully and responsibly. You are solely responsible for the content you capture and for complying with all laws applicable to photography, privacy, and location recording in the places where you use the app.

Feedback. If you choose to send us feedback, suggestions, or diagnostic information through the app, you grant us a perpetual, royalty-free right to use it for any purpose without restriction or obligation to you. Any diagnostic log attached to your feedback is technical only and is handled as described in our Privacy Policy.

6. Intellectual property

6.1 Ownership. The app and everything in it — including its software, source code, visual design, app icon, look profiles, color science, and documentation — are owned by Brook Willard or his licensors and are protected by copyright, trademark, trade-secret, and other intellectual-property laws. Except for the limited license granted in Section 1, no rights are transferred to you.

6.2 Names and marks. Tech Scout, the Tech Scout app icon and branding, Scout, the Scout Film Engine, Scout Halation Engine, Scout Grain Engine, and Scout Image Science, together with their related names, logos, and product names, are trademarks of Brook Willard (the "Marks"). Nothing in these Terms grants you any right to use the Marks. You agree not to use, register, or attempt to register any of the Marks — or any name, logo, or branding that is confusingly similar to them — without our prior written permission.

6.3 Your photographs. The photographs you create with the app belong to you. We claim no ownership of your images, and the app transmits no copy of them to us under any circumstances.

7. Disclaimer of warranties

Tech Scout is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the app will be uninterrupted, error-free, or that captured images or metadata will meet every professional requirement. You are responsible for verifying results for your own use. If you find the app's performance or capabilities to be inadequate for your needs, we encourage you to submit feedback to us.

8. Limitation of liability

To the maximum extent permitted by law, Brook Willard will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, images, or profits, arising out of or related to your use of Tech Scout. Our total liability for any claim relating to the app will not exceed the amount you paid for the subscription in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Brook Willard and his employees, agents, and licensors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the app; (b) your violation of these Terms; or (c) your violation of any law or of the rights of any third party, including in connection with the photographs or other content you capture or create using the app.

10. Termination and survival

10.1 This license is effective until terminated. It ends automatically if you fail to comply with these Terms, and you may end it at any time by deleting the app from your devices. Your subscription is managed and canceled through your Apple Account as described in Section 3.

10.2 Upon termination, your right to use the app stops. Ending these Terms does not by itself entitle you to a refund; subscription billing is governed by Apple and Section 3.

10.3 Survival. The provisions that by their nature should survive — including Section 2 (Restrictions on Use), Section 6 (Intellectual Property), Section 7 (Disclaimer of Warranties), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 12 (Governing Law), and Section 13 (Severability) — survive any termination of these Terms.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the app after changes take effect constitutes acceptance of the revised Terms.

12. Disputes and Governing Law

12.1 Talk to Us First. Tech Scout is built and supported by one person, and most problems — a bug, a billing surprise, a feature that doesn't work the way you expected — can be fixed with an email. If you have a problem with the app or believe we've gotten something wrong, contact us at techscoutapp@gmail.com and we will work with you in good faith to resolve it. You agree that before filing any formal legal claim against us, you will first email us a description of the issue and give us thirty (30) days to try to resolve it informally. A conversation is almost always faster and better for both of us than a legal proceeding.

12.2 Governing Law.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except where Apple's terms or applicable consumer-protection laws provide otherwise.

12.3 Time Limit on Claims. To the extent permitted by applicable law, any claim arising out of or relating to these Terms or your use of Tech Scout must be filed within one (1) year after the claim arose; otherwise, it is permanently barred. This does not shorten any time period that applicable law does not allow to be shortened.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable; and if it cannot be made enforceable, it will be severed. In either case, the remaining provisions of these Terms will continue in full force and effect.

14. Apple App Store Terms

Tech Scout is distributed through Apple's App Store, and the following terms apply in addition to the rest of these Terms:

14.1 Acknowledgement. These Terms are concluded between you and us only, and not with Apple. We, not Apple, are solely responsible for Tech Scout and its content. These Terms do not conflict with the Apple Media Services Terms and Conditions, which also apply to your use of the App Store.

14.2 Maintenance and Support. We are solely responsible for providing any maintenance and support for Tech Scout. Apple has no obligation whatsoever to furnish any maintenance or support services for the app.

14.3 Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed in Section 7. In the event Tech Scout fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are our sole responsibility, subject to these Terms.

14.4 Product Claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to Tech Scout or your possession and use of it, including but not limited to: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

14.5 Intellectual Property Claims. In the event of any third-party claim that Tech Scout, or your possession and use of it, infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of any such claim.

14.6 Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

14.7 Third-Party Terms. You must comply with any applicable third-party terms of agreement when using Tech Scout.

14.8 Third-Party Beneficiary. You and we acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
